These Terms of Service ("Terms") govern your access to and use of the products, services, websites, and AI agents (collectively, the "Services") provided by Khayal Tech, a company registered in the Sultanate of Oman under Commercial Registration 1652139, with offices in Muscat / Bawshar.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.

Acceptance of terms
By creating an account, signing an engagement letter, or otherwise using our Services, you confirm that:
- You are at least 18 years old and have the legal capacity to enter into binding agreements.
- You have read, understood, and agree to these Terms and our Privacy Policy.
- If you are accepting these Terms on behalf of a company or other legal entity, you have the authority to bind that entity.
- You will use our Services in compliance with all applicable laws of the Sultanate of Oman and any other jurisdiction that applies to you.

Our services
Khayal Tech provides AI-powered software products and services designed for businesses operating in Oman and the broader region. Our offerings include but are not limited to:
- Musaid — AI sales assistant deployed across messaging channels (WhatsApp, Instagram, web, and others).
- AI agent platform — multi-tenant infrastructure that enables businesses to deploy customised AI employees for various roles.
- Custom integrations — connecting our AI agents to your existing tools (CRM, inventory systems, communication channels).
- Hosting & monitoring — sovereign Gulf-region infrastructure with uptime guarantees and ongoing support.
- Future products — additional AI roles and tools that may be added to our offering over time.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice where practical.

Accounts
To use certain Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Keep your account credentials confidential and not share them with others.
- Notify us immediately of any unauthorised access or security breach.
- Be responsible for all activity that occurs under your account.
- Not impersonate any person or misrepresent your affiliation with any entity.
We reserve the right to suspend or terminate accounts that violate these Terms, are inactive for extended periods, or appear to be fraudulent.

Acceptable use
You agree NOT to use our Services to:
- Violate any applicable law, regulation, or third-party rights.
- Send spam, unsolicited messages, or content that violates the policies of our communication partners (including WhatsApp, Meta, Instagram).
- Generate or distribute harmful, threatening, defamatory, obscene, or otherwise objectionable content.
- Impersonate another person or business, or misrepresent your AI agents as human without disclosure where required.
- Attempt to interfere with, disrupt, or compromise the security or integrity of our Services.
- Reverse-engineer, decompile, or extract source code from our software.
- Use the Services to compete with Khayal Tech or to develop a competing product.
- Process customer data without proper authorisation or in violation of applicable privacy laws.
- Use the Services in a way that exceeds reasonable usage expectations or imposes undue load on our infrastructure.
Violation of acceptable use may result in suspension or termination of your account, and we may report severe violations to relevant authorities.

Customer data & responsibility
When you operate AI agents through our platform, you are responsible for:
- Ensuring you have the legal right to share customer data with us and to deploy AI to interact with your customers.
- Obtaining any required consents from your customers before AI-mediated communications.
- Reviewing AI agent responses for accuracy and compliance with your business's policies.
- Complying with the laws governing your business, including consumer protection, advertising, and data protection.
Khayal Tech provides the technology platform; you remain the data controller for your customer data, and you bear primary responsibility for how your AI agents communicate with your customers.

Intellectual property
Our IP
All rights, title, and interest in our Services — including software, AI models, designs, content, trademarks (including "Khayal Tech," "Musaid," and "The Breath" mark), and documentation — are owned by Khayal Tech or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use our Services in accordance with these Terms.
Your content
You retain ownership of the content and data you upload to our platform ("Your Content"). You grant Khayal Tech a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely as necessary to provide and improve the Services.
Feedback
If you provide us with feedback, suggestions, or improvement ideas, you grant us the right to use them freely without obligation or compensation.

Fees & payment
Some of our Services require payment. The applicable fees, billing cycles, and payment terms will be set out in your engagement letter, order form, or pricing page.
- Currency: All fees are denominated in Omani Rial (OMR) unless otherwise specified.
- Invoicing: We typically invoice monthly in advance. Payment is due within 30 days of invoice date unless otherwise agreed.
- Late payment: Overdue invoices may incur late fees and may result in suspension of Services.
- Taxes: Fees are exclusive of any applicable taxes (such as VAT). You are responsible for paying all taxes related to your use of our Services, except for taxes imposed on Khayal Tech's net income.
- Price changes: We may revise our fees with at least 30 days' notice for ongoing engagements.

Termination
By you: You may terminate your account at any time by contacting us at [email protected]. Termination does not entitle you to a refund of fees paid in advance unless explicitly stated in your engagement letter.
By us: We may suspend or terminate your access to the Services at any time, with or without notice, if:
- You breach these Terms or any other agreement with us.
- You fail to pay fees when due.
- You engage in fraudulent, abusive, or illegal activity.
- We are required to do so by law or by an order from a competent authority.
- We discontinue the Services or any part thereof.
Effect of termination: Upon termination, your right to use the Services ends immediately. We will retain your data for a reasonable transition period to allow data export, then delete it according to our Privacy Policy. Provisions intended to survive termination (including IP, indemnification, limitation of liability, and governing law) will continue to apply.

Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, KHAYAL TECH DISCLAIMS ALL WARRANTIES, INCLUDING:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Warranties that the Services will be uninterrupted, error-free, or free from harmful components.
- Warranties regarding the accuracy, reliability, or completeness of AI-generated responses.
AI output disclaimer: Our AI agents generate responses based on training data and configured rules. While we work to ensure quality, AI-generated content may occasionally be inaccurate, incomplete, or inappropriate. You are responsible for reviewing AI output and not relying solely on it for high-stakes decisions.

Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- Khayal Tech's total liability under these Terms shall not exceed the fees you paid to us in the 12 months preceding the event giving rise to the claim.
- We are not liable for any indirect, incidental, consequential, special, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — even if we have been advised of the possibility of such damages.
- This limitation applies regardless of the legal theory of liability (contract, tort, negligence, or otherwise).
Some jurisdictions do not allow these limitations; in such cases, our liability is limited to the maximum extent permitted by applicable law.

Indemnification
You agree to indemnify, defend, and hold harmless Khayal Tech, its founders, employees, and partners from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Services.
- Your violation of these Terms.
- Your violation of any third-party rights, including privacy, intellectual property, or contractual rights.
- Your customer data, including any claims by your customers regarding AI-mediated communications.

Changes to these terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through a prominent notice on our website. Continued use of our Services after the changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

Governing law & disputes
These Terms are governed by and construed in accordance with the laws of the Sultanate of Oman. Any dispute arising out of or relating to these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of Muscat, Sultanate of Oman.
The parties agree to attempt to resolve any dispute in good faith through direct negotiation before resorting to litigation.

Miscellaneous
- Entire agreement: These Terms (together with our Privacy Policy and any applicable engagement letter) constitute the entire agreement between you and Khayal Tech regarding the Services.
- Severability: If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force.
- No waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights to an affiliate or in connection with a merger or acquisition.
- Force majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
- Language: These Terms are written in English. If translated, the English version controls in case of conflict.
